If you have received an offer from Verizon to lease your property, the offer should include the standard Verizon Cell Site Lease. The following provisions are typically found in the Agreement:
- Premises- this paragraph specifically describes the portion of the landowner’s property being leased by Verizon and allows for 24 hours a day, 7 days a week non-exclusive access to the property.
- Term and Extensions- the term of the Verizon Cell Site Lease is 5 years commencing on the date Verizon begins installing its equipment on the property. The Agreement automatically extends for four additional terms of 5 years each unless Verizon terminates the Lease at the end of the current term by providing the landowner prior notice. At the end of the fourth 5 year renewal term, the Agreement will automatically extend for additional 5 year terms unless either party notifies the other of its intention to terminate prior to the end of the current term. During each of the additional 5 year terms, the rental amount increases by a fixed percentage.
- Approvals and Termination- the Verizon Cell Site Lease specifically allows Verizon to use and operate the leased premises for communications and other related purposes. Verizon has the right to replace, add or repair its equipment at its discretion. Verizon’s use of the property is conditional upon it obtaining necessary government approvals and performing sufficient soil testing. The landowner must cooperate with Verizon in obtaining such approvals, however, the Verizon Cell Site Lease may be terminated if i) any government application if rejected, withdrawn or can’t be obtained in a timely manner, ii) if the soil test results are unsatisfactory, iii) Verizon determines that the leased premises are no longer compatible for its use or that it will be unable to use the premises for its intended purpose.
- Indemnification- the parties agree to indemnify and hold each other harmless from any claim of injury or damages arising out of the negligence or willful misconduct of the indemnifying party.
- Insurance- the Verizon Cell Site Lease requires the landowner and Verizon to maintain general liability insurance and name the other as an additional insured.
- Interference- Verizon agrees not to install equipment that will interfere with any existing equipment on the property. In the event of interference, it will take reasonable steps necessary to remove it, however, the landowner may not terminate the lease if Verizon is acting in good faith to remove the source of the interference. The landowner also agrees not to permit other tenants to install equipment that will interfere with Verizon.
- Removal- after the expiration or termination of the Lease, Verizon will remove all of its equipment from the property and restore the property to its original condition.
- Right of First Refusal- in the event the landowner decides to sell the property or grant an easement for the purpose of operating or managing communications equipment, Verizon reserves a right of first refusal to meet any such offer of sale or transfer.
- Assignment- the Verizon Cell Site Lease may be assigned by Verizon without the approval or consent of the landowner to Verizon’s principal, affiliates or subsidiaries or to an entity that acquires substantially all of its assets. In addition, Verizon may sublet without landowner’s consent.
- Default- Verizon has 15 days to cure a monetary breach upon notice from the landowner and both parties have 30 days to cure a non-monetary breach upon notice from the other party.
To summarize, the Verizon Cell Site Lease is perhaps the most one-sided and onerous of all the carrier cell site leases from the landowner’s perspective. As you can see, the Agreement raises many legal issues that need to be considered by a landowner when evaluating an offer from Verizon to lease a portion of his or her property.
