If you have been approached by a representative of Unison interested in purchasing your cell site lease, the following is a description of the standard Unison cell site buyout Agreement:

  1. The Unison cell site buyout Agreement is drafted as an easement and assignment agreement in which Unison provides a lump-sum payment to the landowner in exchange an exclusive easement over a portion of the property for the transmission and reception of wireless communication signals as well as the maintenance and operation of towers, antennas and related facilities necessary for Unison to comply with the obligations under the existing cell site leases on the property. In addition, Unison receives a non-exclusive easement over a portion of the property for the installation, repair and maintenance of utilities providing service to the facilities on the property.
  2. Assignment- the landowner assigns to Unison of its interest in the existing cell site leases on the property, including the rents and other monies due the landowner. Notwithstanding the assignment, the landowner agrees to continue to comply with the obligations of lessor under the existing cell site agreement.
  3. Use of Easements- Unison has the unrestricted right to lease, transfer or assign the use of the Easements and/or its rights under the Unison cell site buyout Agreement.
  4. Term- the term of the Unison cell site buyout Agreement and associated easements is 30 years.
  5. Termination- in the event that Unison and the existing cell site tenant on the property cease to use the easements for more than 5 years, the easements are deemed abandoned and Unison may abandon the easements for any reason at any time on 30 days notice to the landowner. The Unison cell site buyout Agreement may not be terminated by the landowner.
  6. Cooperation- the landowner agrees to cooperate with Unison in obtaining all licenses and permits required for Unison’s use of the easements.
  7. Taxes- the Unison cell site buyout agreement provides that the landowner is responsible for paying all real property taxes attributable to the Property.
  8. Indemnity- the landowner and Unison agree to indemnify, defend and hold the other harmless against all costs and claims of liability or loss arising out of i) a breach of a representation or warranty by the indemnifying party under the Unison cell site buyout agreement and ii) out of the use of the Property and Easements by the indemnifying party. Unison has no liability or obligation to maintain the areas upon which the easements are located.
  9. Additional Customers- the landowner appoints Unison as its attorney-in-fact to negotiate and enter into other cell site leases on the Property that may extend beyond the term of the Unison cell site buyout Agreement. All of these other agreements entered into by Unison shall survive the termination of the Unison cell site buyout agreement. The landowner also agrees not to solicit the business of any of Unison’s cell site tenants on the property. Unison has the right of first refusal to acquire the lease or any part of the Property being transferred by the landowner on the same terms and conditions as currently being offered.
